Elymi Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and DOMOAI PTE.LTD ("Elymi", "we", "us", or "our") regarding your access to and use of the Elymi mobile application, our website, and related services (collectively, the "Service"). By creating an account, signing in, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Service.

Key Things to Know

Elymi is for users aged 17 and older. AI characters are software systems, not real people, and are not a substitute for medical, legal, financial, or crisis advice.
You own the conversations and characters you create. When you publish a character, you grant us and other users a license to display and interact with it, but you retain your ownership rights.
Some things are never allowed. Sexual content involving minors, content that targets real identifiable people without authorization, content that incites violence, and similar material will be removed; accounts that violate these rules may be suspended or terminated.
You can leave at any time. You can delete your account in-app and your data will be removed in accordance with our Privacy Policy.

2. Eligibility

You may use the Service only if all of the following are true:

You are at least 17 years of age.
You have the legal capacity to enter into a binding contract under the laws of your country of residence.
You are not located in, organized under, or a resident of any jurisdiction subject to comprehensive United States, United Nations, European Union, or Singaporean sanctions.
You have not previously been banned from the Service. We verify your age primarily through the date of birth you provide during setup, supplemented by the age associated with your Apple or Google account at OAuth sign-in and applicable app-store age ratings. Providing false information about your age is a breach of these Terms. If we discover that you do not meet the minimum age requirement, or that any information you provided at setup is materially false, we may suspend or terminate your account without notice.

3. The Service

Elymi allows you to converse with AI-driven characters in text form, to create your own characters, and to optionally publish characters for other users to interact with. Conversations are powered by third-party large language model providers. Characters can be set as Private (only you can interact with them) or Public (other users can discover and interact with them). The Service is provided as a product and is not a regulated healthcare, mental-health, legal, financial, or professional-advisory service. AI characters are not real persons; they do not understand, feel, or care in any human sense, regardless of how they may appear to express themselves.

4. Important Safety Notice

Elymi is not a substitute for professional help. You should not rely on Elymi or its AI characters for:

Medical, psychiatric, psychological, or therapeutic advice or treatment
Legal, financial, tax, or investment advice
Emergency response or crisis intervention
Any other professional service If you are in crisis or experiencing thoughts of self-harm, please contact local emergency services or a crisis hotline immediately. Examples include:

EU general emergency: 112 Our automated systems screen conversations for signals of self-harm or harm to others. When such signals are detected, we may surface in-app safety resources, pause the conversation, and conduct narrow human review where lawful and necessary. These measures support, but do not replace, professional care.

5. Account Registration

You may register for the Service using Apple Sign-In or Google Sign-In (collectively, "OAuth"). The Service does not currently support guest mode, email-and-password registration, or phone-number registration.

You are responsible for maintaining the confidentiality of your OAuth credentials and for all activity that occurs under your account.
One person may maintain one active account at a time. Creating multiple accounts to evade safety enforcement, content moderation, or commercial terms is prohibited.
You must promptly notify us at support@elymi.ai if you suspect unauthorized access to your account. You may delete your account at any time via Settings → Account → Delete Account. Deletion is processed in accordance with the Privacy Policy.

6. License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use. You may not, and may not allow any third party to:

Copy, modify, distribute, sell, lease, or sublicense any part of the Service
Reverse engineer, decompile, or attempt to derive the source code or model weights underlying the Service, except to the extent expressly permitted by mandatory applicable law
Access the Service through any automated means (bots, scrapers, scripts, headless clients) other than search-engine crawlers operating in good faith
Use the Service to develop a competing product, train any machine-learning model, or extract data in bulk
Bypass, disable, or circumvent any rate limit, content moderation, age verification, or other technical control
Use the Service in any way that violates applicable law

7. User Content

7.1. Definition

"User Content" means any content you create, upload, post, transmit, or otherwise make available through the Service, including the messages you send in conversations with AI characters, the AI character profiles you create (name, description, personality traits, background story, and optional avatar imagery), and any other text, images, or data you submit through the Service.

7.2. Ownership

You retain all ownership rights in your original User Content, subject to the licenses you grant below. We claim no ownership over the underlying creative elements you author. For clarity: the AI-generated responses produced by the Service in response to your inputs are part of your conversation experience. As between you and Elymi, you are entitled to use those responses for your personal, non-commercial purposes consistent with these Terms. We make no warranty regarding any third-party intellectual property rights in AI-generated outputs and disclaim any obligation to police such outputs for third-party rights conflicts; you should not assume that AI-generated text is free of third-party rights.

7.3. License You Grant to Elymi

To enable us to operate the Service, you grant Elymi the following licenses: (a) Operational License (covers all User Content): A worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, and display your User Content, and to make technical modifications (e.g., format conversion, indexing, encryption), solely as necessary to provide and improve the Service, perform content moderation, comply with legal requirements, and respond to safety incidents. (b) Public-Character License (covers Public Characters only): If you set a character to "Public", you additionally grant Elymi and other Elymi users a worldwide, non-exclusive, royalty-free, sublicensable license, lasting for the period during which you keep the character public, to display the character profile, allow other users to interact with the character, and feature the character in catalogues, recommendations, or promotional contexts within the Service. (c) Aggregated and De-identified Data: You acknowledge that we may use aggregated or de-identified data derived from User Content (data that cannot reasonably be re-associated with you) for any lawful business purpose, including analytics and product improvement. You may revoke licenses (a) and (b) prospectively at any time by deleting the relevant User Content or making a Public Character Private; revocation does not affect lawful uses already made before deletion.

7.4. Your Representations Regarding User Content

By submitting User Content, you represent and warrant that:

You own or have all necessary rights to the User Content.
The User Content does not infringe any third party's intellectual property, publicity, privacy, or other rights.
The User Content does not depict any real, identifiable person (including any public figure, celebrity, performer, or athlete) in a way that would violate their rights of publicity, name, image, or likeness, unless you have express written permission from that person or hold the relevant rights.
The User Content complies with these Terms and our Community Guidelines.

7.5. Official Characters

Elymi may publish "Official Characters" curated and authored by Elymi. Official Characters and all their associated content are owned by Elymi or its licensors. You may interact with Official Characters under the limited license in Section 6, but you may not copy, redistribute, or commercially exploit Official Character content.

8. Acceptable Use and Prohibited Conduct

You agree not to use the Service to create, share, request, or generate any of the following:

8.1. Absolutely Prohibited (Zero Tolerance)

Child sexual abuse material ("CSAM") or any sexual content involving anyone who is or appears to be under 18, including in fictional, illustrated, or AI-generated form
Content that solicits, depicts, glorifies, or facilitates the sexual exploitation of minors
Content that incites or facilitates terrorism, mass violence, or genocide
Content depicting non-consensual sexual acts presented approvingly
Detailed instructions for creating weapons capable of mass harm (chemical, biological, radiological, nuclear) or for synthesizing controlled substances
Doxxing, stalking, or content that creates imminent risk to a real, identifiable person

8.2. Prohibited

Sexually explicit content (Elymi maintains a strict SFW policy; sexual content of any kind is not permitted)
Graphic violence presented for shock value
Hate speech targeting protected characteristics (race, ethnicity, religion, gender, gender identity, sexual orientation, disability, etc.)
Harassment, threats, or content intended to demean or intimidate
Self-harm content presented approvingly or as instruction
Impersonation of real, identifiable persons without authorization
Unauthorized use of third-party copyrighted works (characters, lyrics, large quoted text)
Content violating applicable law in your or our operating jurisdictions
Spam, phishing, malware, or fraudulent content
Bulk data extraction, scraping, or use of the Service to train competing AI systems

8.3. Operational Conduct Rules

Do not interfere with the operation of the Service.
Do not use the Service to send unsolicited commercial communications.
Do not attempt to identify or contact other users outside the Service for non-consensual purposes.
Do not misrepresent your affiliation with Elymi or any other person or entity.

9. Content Moderation and Enforcement

We employ automated content classifiers and human review to enforce these Terms. We may, at our sole discretion and at any time, with or without notice:

Remove or edit User Content that violates these Terms
Make a Public Character Private
Restrict, suspend, or terminate your access to specific features or to the Service entirely
Cooperate with law enforcement and regulators We will use reasonable efforts to provide notice of enforcement actions, but immediate action without notice may be necessary in cases involving safety risk, suspected illegality, or platform integrity. If you believe an enforcement action against your account or content was made in error, contact support@elymi.ai within 30 days. We will review your appeal in good faith.

10. Intellectual Property of the Service

All rights, title, and interest in and to the Service — including its software, trademarks, logos, designs, AI model architecture (excluding underlying third-party model weights, which are owned by their respective providers), Official Characters, and content authored by us — are owned by Elymi or its licensors and are protected by copyright, trademark, and other applicable laws. These Terms grant you no rights in or to any of the foregoing other than the limited license in Section 6.

10.1. Copyright Infringement Notices

If you believe content on the Service infringes your copyright, send a notice to support@elymi.ai including: your contact information; identification of the copyrighted work; identification of the allegedly infringing content with sufficient detail for us to locate it; a statement of good-faith belief that the use is not authorized; a statement under penalty of perjury that the information is accurate and you are authorized to act on the rights-holder's behalf; and your physical or electronic signature. We will respond to valid notices in accordance with applicable law (including the U.S. DMCA where applicable, and equivalent notice-and-takedown rules in other operating markets). Repeat infringers will have their accounts terminated.

11. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and disclose your personal data and is incorporated into these Terms.

12. Third-Party Services

The Service relies on, and may link to, third-party services (including Apple, Google, our AI providers, and our analytics and infrastructure providers). Your use of those third-party services is governed by their respective terms and privacy policies. Elymi is not responsible for the operation, content, or practices of third-party services.

13. Term and Termination

These Terms are effective from the moment you first use the Service and continue until terminated.

Termination by you: at any time, by deleting your account in-app or by ceasing to use the Service.
Termination by us: at any time, with or without notice, if you breach these Terms or our Community Guidelines, if continued service to you would violate applicable law, if your account has been dormant for an extended period, or if we discontinue the Service.
Effect of termination: your license to use the Service ends immediately. Sections that by their nature should survive termination — including Sections 7.3 (operational license, to the extent of lawful uses already made), 8, 10, 14–18 — shall survive. If we discontinue the Service entirely, we will provide reasonable advance notice and an opportunity to export your User Content where technically feasible.

14. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, Elymi disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, Elymi does not warrant that:

The Service will be uninterrupted, timely, secure, or error-free.
AI-generated content will be accurate, complete, current, helpful, appropriate, or free of bias.
AI-generated content will not include text resembling, similar to, or identical to text owned by third parties.
Content moderation will catch every instance of prohibited content.
The Service will be available in any particular jurisdiction. You acknowledge that AI systems may produce outputs that are factually incorrect, biased, offensive, or otherwise problematic, and you assume all risk of using AI-generated outputs.

16. Limitation of Liability

To the maximum extent permitted by applicable law:

In no event will Elymi, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.
Elymi's aggregate liability for all claims arising out of or related to the Service in any twelve-month period will not exceed the greater of (i) the total amount you have paid to Elymi in the twelve months preceding the event giving rise to the claim. The limitations in this Section apply only to the extent permitted by applicable law. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, or for personal injury or death; in those jurisdictions, the foregoing limitations apply only to the extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Elymi and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your User Content; your use of, or inability to use, the Service; your violation of these Terms; your violation of any third-party right (including intellectual property, publicity, or privacy rights); or your violation of any applicable law. This obligation is subject to mandatory consumer-protection laws of your jurisdiction; nothing in this Section requires you to indemnify Elymi for matters that cannot lawfully be shifted to a consumer.

18. Governing Law and Dispute Resolution

18.1. Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles, except that mandatory consumer-protection laws of your country of residence may apply.

18.2. Arbitration

Subject to Section 18.4, any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules in force at the time of arbitration. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of arbitration shall be English.

18.3. Class Action Waiver

To the fullest extent permitted by applicable law, disputes shall be resolved on an individual basis only. You and Elymi each waive the right to participate in a class action, collective action, or representative proceeding, and waive any right to consolidate disputes with those of any other person.

18.4. Carve-Outs

Nothing in this Section limits your right to:

Bring claims in small-claims (consumer) court where applicable
Seek injunctive relief in any court of competent jurisdiction for intellectual property infringement, threats to security, or violations of confidentiality
Pursue rights under mandatory consumer-protection laws that cannot be waived. For consumers resident in the EEA, UK, Japan, South Korea, or Taiwan, you may bring claims in the courts of your country of residence under your national consumer-protection laws, and the class-action waiver in Section 18.3 does not apply where local law prohibits it.

19. Changes to These Terms

We may update these Terms from time to time. Non-material changes will be posted with an updated "Last Updated" date. For material changes, we will provide at least 30 days' advance notice via in-app notice and/or email. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance, except that material changes adversely affecting your rights will not apply retroactively to disputes arising before the effective date. If you do not agree to a material change, you must stop using the Service and may delete your account before the effective date.

20. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Elymi regarding the Service and supersede any prior agreements.
Severability. If any provision is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, financing, or by operation of law, with notice to you.
Force majeure. Neither party is liable for failure or delay in performance caused by events beyond reasonable control.
Notices. We may provide notices via in-app message, email to your registered address, or posting on our website. You may provide notices to us at support@elymi.ai or by mail to the address in Section 22.
No third-party beneficiaries. These Terms do not confer any third-party beneficiary rights, including under the Singapore Contracts (Rights of Third Parties) Act.
Language. These Terms are drafted in English. Translations may be provided for convenience; in the event of any inconsistency, the English version controls except where mandatory local law requires otherwise.

21. Region-Specific Notices

The following region-specific provisions apply in addition to the rest of these Terms. Where regional law conflicts with the general provisions, regional law controls for users in that region.

21.1. Singapore

Singapore consumers retain all rights under the Consumer Protection (Fair Trading) Act, the Sale of Goods Act, and other applicable Singapore consumer-protection laws. Disputes may also be referred to the Consumers Association of Singapore (CASE) or other competent authorities.

21.2. European Economic Area, United Kingdom, and Switzerland

Mandatory consumer rights under EU and UK consumer law (including Directive 2011/83/EU on consumer rights, Directive 93/13/EEC on unfair contract terms, and equivalent UK and Swiss laws) apply and override conflicting provisions. For consumers, the courts of your country of residence have non-exclusive jurisdiction. Statutory rights of withdrawal apply to any future paid offering.

21.3. California, United States

California users may file complaints with the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs. California consumer-protection rights apply and override conflicting provisions to the extent required by law.

21.4. Other Jurisdictions

In all other jurisdictions, your statutory consumer-protection rights continue to apply and override conflicting provisions of these Terms to the extent required by local law.
